Terms and Conditions

Welcome to the metrics-institue website and services (the “Site”). By accessing or using our Site, products, or services, you agree to be bound by these Terms and Conditions (“Terms”).

1. Definitions

  • “Company” or “we” means [metrics-institue], owner of the apps.

  • “User,” “you” means any person who visits or makes a purchase through the Site.

  • “Product” means the metrics-institue software (EXE and add‑in) and any associated documentation.

  • “Services” means any support, updates, or online features we provide.

2. License Grant

Subject to your compliance with these Terms and any license key validation:

  1. We grant you a non‑exclusive, non‑transferable license to install and use any app on your computer(s) in accordance with the licensing tier you purchased.

  2. You may make one backup copy of the Product solely for archival purposes.

3. Restrictions

You agree not to:

  • Sell, rent, sublicense, distribute, or otherwise make the Product available to third parties.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code.

  • Remove or modify any proprietary notices in the Product or documentation.

4. Payment & Refunds

  1. All fees are quoted in US$  and due in advance via Paddle’s checkout.

  2. Refund policy: You may request a full refund within 14 days of purchase, provided you have not activated or used the Product. To request a refund, contact  [avi@metrics-institue.net].

5. Updates & Maintenance

  1. We may release updates, patches, or new versions at our discretion.

  2. Updates are subject to the same license terms.

  3. No obligation exists to provide any updates beyond the current major version you purchased, unless you subscribe to a support plan.

6. Support

Basic email support is provided to all license holders at  [avi@metrics-institue.net]. Premium support plans may be offered separately.

7. Intellectual Property

All rights, title, and interest in the Product and Site (including trademarks, copyrights, and trade secrets) remain with Company and its licensors. No ownership rights are transferred to you.

8. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.

10. Termination

This license and these Terms will terminate automatically if you fail to comply with any provision. Upon termination, you must uninstall and destroy all copies of the Product.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Your State/Country], without regard to conflict‑of‑law principles. Any dispute arising hereunder shall be resolved by binding arbitration in [Your City], under the rules of the [Arbitration Body], and judgment on the award may be entered in any court with jurisdiction.

12. Changes to Terms
